Service Agreement

These terms govern all web development, integration, and technical consulting services provided.

Payment Terms

• Projects require 30% deposit before development begins
• Progress payments due at agreed project milestones
• Final payment due upon completion and client acceptance
• Invoices payable within 15 days of receipt
• Late payments subject to 1.5% monthly service charge

Project Scope & Changes

• All work performed according to written project specification
• Scope changes require written approval and may affect timeline and cost
• Client responsible for timely review, feedback, and approvals
• Delays caused by client feedback may extend project timeline

Intellectual Property

• Client receives full ownership of custom code developed specifically for their project
• Third-party libraries and frameworks retain original licensing terms
• Developer retains right to use general techniques and approaches in future projects
• Portfolio usage rights granted unless client requests confidentiality

Hosting & Technical Requirements

• Client responsible for providing appropriate hosting environment
• Developer will specify minimum technical requirements during planning
• Client responsible for domain names, SSL certificates, and hosting costs
• Ongoing maintenance available under separate service agreement

Testing & Acceptance

• All deliverables tested in agreed-upon browsers and devices
• Client has 7 days to report bugs or acceptance issues
• Minor bug fixes included for 30 days post-launch
• Major changes or new features require separate agreement

Limitation of Liability

• Services provided with professional care but without guarantee of specific outcomes
• Developer liability limited to total project fee
• Client responsible for data backup and security of live systems
• Force majeure events may affect project timelines

Cancellation & Termination

• Either party may terminate with 30 days written notice
• Client pays for all work completed through termination date
• Deposit non-refundable once development begins
• Source code delivered for completed milestones upon payment
